Thank you for subscribing to use our products and services (“Services”). The Services are provided by REGmls and its affiliates, doing business as REGmls. BY SETTING UP A REGmls ACCOUNT, BECOMING A MEMBER, OR OTHERWISE USING THE SERVICES, YOU ARE AGREEING TO THESE TERMS OF SERVICE. PLEASE READ THEM CAREFULLY.

Your REGmls Membership
In order to set up an Account, you must be at least 18 years of age. If you are using our Services on behalf of a business, you represent and warrant that you are authorized to bind the business and/or that you are authorized by the business to setup your own account as an affiliate of the business and that the business accepts these terms. This Membership Subscriber Agreement (herein called the “Agreement”) is made by and between REGmls (dba herein called the “Company”) and the Real Estate Brokerage firm together with its qualifying broker, affiliated associate brokers, and salespeople. (Herein called the “Member(s)” By using the Services, Members agree to abide by the terms of use, rules and regulations as presented herein and any others that may be adopted in the future. By subscribing to Services or using the properties of the Company, this shall not constitute, or meant to constitute, advice of any kind. Should you require advice in relation to any real estate transaction, financial matter, or legal concerns, you should consult the appropriate professional. The term of this Agreement shall be from the Member registration date and shall end after 365 days period. The term shall automatically renew on a yearly basis. Payment of dues is collected on a monthly basis. A written notice of thirty (30) days is required prior to the end of term to cancel this Membership Subscriber Agreement. Upon registration of an Account, you agree to: (a) provide accurate, true, current, and complete information as prompted by the registration form herewith; and (b) maintain and update such information to keep it true, accurate, current, and complete at all times. The Company reserves the rights to terminate your Account without warning if you are found to in non-compliance with the issuing authority of your real estate license or have misrepresented any material fact or any of the registration information submitted.

Members/Company Rights and Responsibilities
Members agree not to use the data/information provided by through the media platform in making any loan-related decisions; reproduce, modify, distribute, display or otherwise provide access to, create derivative works from, decompile, disassemble, or reverse engineer any portion of the services, except as explicitly permitted under these terms of use. It is required that Members enter all their listings with the Company (REGmls). The Company (REGmls) will make the database available to licensed real estate professionals who are affiliates of a brokerage Member firm upon registration of the firm by the qualifying broker with all rights and obligation. Upon registration, a Member (Broker) affirms that all their affiliates shall be entitled to subscribe to Membership and pay their own membership dues directly to the Company. It shall be the Member qualifying brokers responsibility to inform the Company (REGmls) when an affiliate Member leaves the brokerage, becomes inactive, or has had their license revoked while in their employ. Members shall promptly pay all fees and charges due to the Company in accordance with the Fee Schedule. You are responsible for maintaining the confidentiality of your password and Account details. All Members understand that Membership is personal and cannot be sold, leased, transferred, bequeathed or assigned. The Company (REGmls) shall have no liability for inaccuracies in data supplied to the system. Members understand and agree that the Company has no control over the operation of the system or Member(s) ability to access the internet. Hence, Member(s) subscribers hereby waive any and all claims which he/she/entity have or may acquire against the Company with respect to any failure in the system, the operation of the system itself, Members ability to gain access to the internet for any reason, or activities relating to or the providing of products or services pursuant to this Agreement. The Company makes no warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for any particular purpose. Members are prohibited from selling the personal information available through the Company (REGmls) to third parties without explicit written consent. Nothing in this Agreement shall be construed as granting any rights under any patent, copyright or other intellectual property right of the Company, nor shall this Agreement grant Member(s) any shares, rights in or to the Company’s Confidential Information, except the limited right to use the Confidential Information in connection with the Services. All other logos and trademarks that may be depicted on the portal are the property of their respective owners. At times, our Services may include some content that is not REGmls. This content is the sole responsibility of the entity that makes it available.

Dispute and Resolution
If a Member has a dispute with one or more other Members, it is acknowledged herein that there is no provision for arbitration with membership. Hence, each member at their own discretion may seek lawful remedy. In the event of legal action or proceeding between the Company (REGmls) and Member subscriber, on account of or in respect to this Agreement, where the Company (REGmls) is the prevailing party, the Company (REGmls) shall be entitled to recover its reasonable attorneys’ fees, costs and expenses incurred in such action or proceeding. Members acknowledges that damages suffered by the Company from access to the web platform (REGmls) database, or any other portal owned or operated by the Company or proprietary data accessed by an unauthorized third party as a result of disclosure of Member(s) subscriber’s username, password or an unauthorized disclosure by a Member to a third party would be speculative and difficult to quantify. Accordingly, as a material inducement for the Company (REGmls) to enter into this Agreement with Member, Member agrees that (a) in the event that any disclosure of Member’s password results in access to the REGmls database, service portal by an unauthorized third party, regardless of whether such disclosure is intentional, negligent or inadvertent, Member shall be liable to the Company (REGmls) for liquidated damages in the amount of $15,000 (or the amount established in the REGmls Policies, whichever is greater) and termination of this Agreement; and (b) in the event that Member makes unauthorized disclosure of any portion of the REGmls database to any third party, Member shall be liable for liquidated damages in the amount of $15,000 (or the amount established in the REGmls Policies, whichever is greater) for each real estate listing disclosed and termination of this Agreement. Members hereby agree to submit any dispute or controversy, at law or equity, against the Company to the New York courts.

Distribution and Use of Data
You represent and warrant that you own and/or otherwise possess all necessary rights with respect to any materials you submit, including but not limited to photographs, graphics, images, text, and other materials (collectively, "Submitted Materials"), and that your Submitted Materials does not and will not infringe, misappropriate, use or disclose without authorization or otherwise violate any fair housing laws, copyright, trade secret or other intellectual property or property right of any third party, and that such Submitted Materials are not unlawful, fraudulent, abusive, libelous,  threatening, defamatory, obscene or otherwise objectionable. Members hereby irrevocably grants the Company a non-exclusive, worldwide, royalty free license to use, sublicense, copy, publish, display, and reproduce Submitted Materials, to prepare derivative works of the Submitted Materials, and to distribute Submitted Materials or any derivative works thereof.  Such license shall be deemed granted as of the moment of creation without the necessity of any further action on the part of either party. Any such reproduction shall be deemed part of the REGmls database.

Keybox Lifetime Use License
Members acknowledge that the services provided by the Company at such discounted prices require the cooperation of all Members. It is further acknowledged that lock/key boxes are made available on a leased license to use basis and are the property of the Company. Members may obtain a license to use a lockbox/keybox for a listing as long as the listing is unsold or un-rented and there exist a valid listing agreement and the Member continues to be licensed as a real estate professional.  It is the Members responsibility to insure against any risk of use of the keybox/lockbox. All parties acknowledge that no keybox/lockbox is impregnable.

Resale of Forms Prohibited
Members acknowledge that by ordering or downloading Forms, you agree that the Forms you purchase or download from the Company may only be used by you for your personal or business use or used by you in connection with your client and may not be sold or redistributed without the express written consent of the Company or the forms respective owners.

Paid Subscriptions and Promotions
We anticipate that after a year of free trial, monthly dues will be approximately $12 each month via electronic debits or by ACH debits to the Members debit card, credit card or bank account. REGmls grants each Member a FREE one-time initial trial period of 1 year. Upon registration to the REGmls portal, Members who are qualifying brokers agree to immediately grant all licensees under their company immediate access to register and avail themselves of the FREE trial period.
